2017 Board Election: Proposed Amendments to BZC Bylaws

In the 2017 Board Election, the BZC board is proposing two amendments to Article IV of the BZC Bylaws: to Section 3.A (Selection of Board Officers) and 3.C (Elections). On your official electronic ballot, you may choose to APPROVE or NOT APPROVE the amendments as proposed.

Section 3. How Selected

A. Officers (PROPOSED AMENDMENT)

When the position of President, Vice-President or Treasurer becomes vacant, the Abbot will consult with the Board and, based on that consultation, will recommend candidates to fill the vacant position. In this context, consultation means: (1) the Abbot will first discuss possible candidates with the Executive Committee (all current officers, the Abbot and any Vice-Abbot) and, (2) in executive session at a regular Board meeting, the Abbot will announce the candidates that are to be considered, the Executive Committee will report on its discussion with the Abbot about the candidates, and the Board will discuss the merits of each candidate. The Board will then vote on which candidates recommended by the Abbot it will put before the Sangha membership for confirmation at the next October Sangha election. The names of those selected will be announced at the September membership meeting, will be posted during the October election, and will be on the election ballot.

If an officer’s position becomes vacant before the end of that officer’s term, the candidates selected by the Abbot and Board will serve in an interim capacity until the next Sangha election.

The Board will select a Recording Secretary, who will not be a Board member and who will serve at the will of the Board.

A. Officers (CURRENT SECTION)

In a year when a vacancy occurs before the conclusion of a term, the Abbot will recommend candidates to be invited to fill positions of President, Vice- President and Treasurer for the remainder of the term, after consultation with the Board. In a year when a vacancy occurs at the conclusion of a term, the Abbot will recommend candidates to be invited to fill positions of President, Vice- President and Treasurer for the next year, after consultation with the Board. The names of those selected will be announced at the September membership meeting and posted for the month prior to the election. A Recording Secretary will be selected by the Board.

C. Election (PROPOSED AMENDMENT)

An election will be held in October of each year. Members will vote for three Members-at-Large and whether to confirm Board officers recommended by the Abbot and Board. The Members-at-Large candidates with the most votes will take office. A simple majority of those voting is required to confirm the selection of officers recommended by Abbot and the Board, as well as to confirm any person in a BZC salaried position. If the membership does not confirm the officers, the Abbot and the Board must meet again to choose alternate officers to again be put to the membership for confirmation.

C. Election (CURRENT SECTION)
An election will be held in October of each year. Members will vote for three (3) members-at-large to the Board. The candidates with the most votes will take office. A simple majority of those voting is required to confirm the appointment of the officers chosen by the head Priest and current Board, and to continue any salaried positions of the corporation. If the membership does not confirm the officers, the Head Priest and the Board must meet again to choose alternative officers.
